These Terms of Service ("Terms") govern access to and use of the CF Forecast platform ("Service") provided by NAVIGATE s.r.o., Tallerova 4, 811 02 Bratislava, Slovak Republic ("we", "us", "NAVIGATE") by the registered organisation and its authorised users ("Customer", "you"). By creating an account or using the Service, you agree to these Terms.
Access to the Service requires registration. An initial tenant administrator account is created at signup; the tenant administrator may invite and manage additional users ("sub-admins") within their organisation and is responsible for the accuracy of the information provided and for maintaining the confidentiality of account credentials.
You may use the Service only for its intended purpose of cashflow forecasting and related financial planning within your own organisation. You must not: (a) attempt to gain unauthorised access to the Service or other tenants’ data; (b) reverse-engineer, decompile, or attempt to extract the source code of the Service; (c) use the Service to store or transmit unlawful content; (d) resell or sublicense the Service without our prior written consent, except as expressly permitted under an Advisory Edition partner agreement; (e) interfere with or disrupt the integrity or performance of the Service.
The Service is offered in multiple subscription tiers (currently SME Edition, CFO Edition, and Advisory Edition), each with a different feature scope as described on our pricing page. New customers may use the Service under a free trial for six (6) weeks, at the end of which continued use requires an active paid subscription. We may change the scope, features, or pricing of subscription tiers with reasonable advance notice; such changes will not reduce the features available under an active paid subscription during its current billing period.
Paid subscriptions are billed via one of the following methods, as agreed at signup or in your order: (a) Prepaid billing — fees for the upcoming monthly billing period are charged in advance via Stripe; (b) Invoiced billing — fees are invoiced and due within fourteen (14) days of the invoice date. Fees are exclusive of applicable VAT unless stated otherwise. Overdue payments may result in suspension of access to the Service after reasonable prior notice.
All data you upload to or generate within the Service — including invoices, bank transactions, payroll data, and forecasts ("Customer Data") — remains your property. We do not claim ownership of Customer Data and will not use it for any purpose other than providing and improving the Service, as further described in our Privacy Policy.
We use commercially reasonable efforts to maintain the availability and performance of the Service, including regular monitoring and prompt attention to reported issues. The Service may occasionally be unavailable for scheduled maintenance or due to factors outside our reasonable control. We do not currently guarantee a specific uptime percentage.
To the maximum extent permitted by applicable law, our aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim. We shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits or business opportunity. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited under applicable law.
These Terms are governed by the laws of the Slovak Republic, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Bratislava, Slovak Republic.
You may terminate your subscription at any time in accordance with your applicable billing cycle. We may suspend or terminate access to the Service for material breach of these Terms, subject to reasonable notice and an opportunity to cure where practicable. Upon termination, you may export your Customer Data for thirty (30) days; after this period, Customer Data will be deleted in accordance with our data retention practices described in our Privacy Policy.
